PART B — TERMS OF THE AGREEMENT

Both parties agree to these terms:

1The parties and the work

1.1
The Company runs a travel business: passenger buses and ticket booking.
1.2
The Company gives the Agent this work: to bring passengers and book their tickets, online or offline, in the service area written in Part A. For this, the Agent is paid as set out in clause 2.
1.3
The Agent must do only the work the Company allows. Every booking must be made at the fares the Company has approved, through the Company’s system and following its procedures.
1.4
The Agent is responsible for the work of anyone who acts for the Agent. Anyone the Agent employs is paid by the Agent, who looks after their tax and conduct; they are not the Company’s employees. If they make a mistake, cheat or misuse money, the Agent is responsible.
1.5
The Agent is an independent business. The Agent is not the Company’s employee, branch, owner, franchise or legal representative, and is not in a partnership with the Company. The Agent’s only right is to book tickets and receive the pay in clause 2; the Agent cannot claim any ownership of the Company’s buses, routes, brand, business or customers. Once a ticket is issued, the passenger the Agent brought is the Company’s customer.

2Target, payment amount and payment dates

Schedule — pay terms
2.1
Monthly booking target: passengers. If the Agent meets the target, the fixed monthly payment is ₹. If the Agent books fewer passengers than the target, the payment is % of the total fare money the Company received from the Agent’s bookings in that month.
2.2
Between the 13th and the 15th of each month, the Company pays an advance of up to 30% of the fixed monthly payment. On the 5th of the next month, after the bookings and accounts are matched, the Company must pay the balance: the month’s payment minus the advance. All payments are made by bank transfer, cheque or UPI. Before paying, the Company deducts TDS and other taxes as the law requires.
2.3
Security deposit, if any: ₹. It is returned only after this Agreement ends and all accounts are settled. Tax that the Company cuts as the law requires cannot be claimed from the Company later.
2.4
A cancelled or refunded ticket is not counted toward the target or the fare money in clause 2.1, and the accounts are adjusted; no pay can be claimed for it. If the Company cancels a ticket or empties a seat without a proper reason, it returns the passenger’s money and the ticket still counts for the Agent. No pay is due for a ticket made outside the Company’s system or its approved ticket books.
2.5
The Agent’s commission is 30% of the travel turnover from the Agent’s bookings, that is, of the fare money the Company receives for them. It is not a fixed amount: the more the turnover, the more the Agent earns. If a monthly target and a fixed payment are written in clause 2.1, that month’s pay follows clause 2.1.

3Bus running schedule and minimum passengers

3.1
If the Company decides to run the bus every day, each bus must carry at least 40 passengers. If it does not, the Company’s bus runs once every 2 days. The Agent must bring passengers to fit this schedule.
3.2
The Agent must work to grow the business, not only for the commission.

4Passenger money, daily handover and matching the accounts

4.1
The Agent must write down every amount taken from passengers, in cash or online. Every day, the Agent must give the Company the full account, and the full ticket money must reach the Company’s account within hours.
4.2
Passenger money must not be held back or delayed on any excuse. If it is late, the Company may close the Agent’s login ID at once. Only the Company pays the Agent, as its system and accounts show; the Agent must not take any pay out of the passengers’ money.
4.3
The Agent must keep proof of every amount received (cash, UPI or bank) and show it whenever the Company asks.
4.4
Before each monthly payment, the bookings and accounts must be matched. Any difference must be written down and settled in that same payment.

5Office attendance on the set timetable

5.1
The Agent and the staff who work with the Agent must be present at the office or counter on the timetable the Company sets.
5.2
Absence without a reason is not accepted. If it happens again and again, the Company may take disciplinary action.

6Checks that must be done before every departure

6.1
Before every bus leaves, these must be confirmed: (1) the full details of every passenger travelling on the bus; (2) the pickup points and the meal stops for the route (Surat → Rupaidiha); (3) the phone number of the staff travelling on the bus.

7Online ticket system, fares, discounts and service to passengers

7.1
The Agent must use only the fares, discounts, offers, services and facilities that the Company approves. Tickets must be issued only through the Company’s system or from ticket books the Company approves. Not even one rupee more than the fare shown in the Company’s system may be taken from a passenger; if more is taken, the Agent alone is responsible.
7.2
Passengers must be given correct information. No false or misleading advertising, publicity or promises may be made. For any service, fare, discount or offer that the Company has not approved, the Agent is fully responsible, and the Company may take the necessary legal action.
7.3
The Agent must treat every passenger with respect and honesty and speak politely: no quarrels, threats or abuse. The Agent must follow the Company’s service procedures.
7.4
The Agent must follow the rules and instructions on fares, routes, booking, payment and discounts that the Company gives from time to time. The Agent must do nothing unethical or illegal and nothing that spoils the Company’s name, and nothing, directly or indirectly, that causes loss to the Company or its people, such as plotting or false talk against them.
7.5
After a booking, an SMS or WhatsApp message goes to the passenger’s phone number by itself.
7.6
Seats are booked online, and the passenger gets the very seat that was booked.
7.7
Passengers can book a seat themselves at www.shreehariglobal.in, or book through the Company’s staff or an agent.

8Company name, logo, ticket design, photos and publicity material

8.1
Without the Company’s written permission, the Agent and anyone acting for the Agent must not use, copy or misuse the name (S Hari Global / Shree Hari Global), logo, brand, website, photos, ticket design, identity or advertising and publicity material of S HARI GLOBAL PRIVATE LIMITED, whether on boards, leaflets, social media, groups, pages or anywhere else.
8.2
Material approved by the Company may be used only for Company bookings. It must be removed and no longer used when the Company asks or when this Agreement ends.
8.3
The Agent must not use the Company’s GST, PAN or VAT number on the Agent’s own bills, deals or any other work. The Agent must never make or run a fake ticket, website, Facebook page, WhatsApp or phone number, or office board in the Company’s name or a look-alike name, and must never take a loan, credit or guarantee, or make any agreement, in the Company’s name.

9Keeping information secret

9.1
The Agent must keep the Company’s passenger data, fare lists, agent lists, system logins and other business information secret, both during this Agreement and after it ends. The Agent must not give them to any other person or to a competing company.
9.2
Passenger details (name, phone, ID and booking) may be used only for the booking; they must not be given or sold to anyone or used for any other business. The Agent must not send the Company’s passengers to another bus or travel company, or take the Company’s customers, agents or staff to another company. For years after this Agreement ends, the Agent must still not divert the Company’s customers; secrecy continues as in 9.1.
9.3
Login IDs and passwords given by the Company are for the Agent’s own use only and must not be shared with anyone else. Keeping them safe is the Agent’s job: everything done from the Agent’s ID, including a wrong name, seat or date, is the Agent’s responsibility.

10Breaking the rules, losses, written notice and deductions

10.1
If the Agent, or anyone acting for the Agent, breaks the Company’s rules, terms or set procedures, or makes a mistake, and this causes the Company a loss, the Company may ask the Agent to pay back the actual loss that the records prove (money, harm to its name, lost customers and legal costs), or cut it from the money the Company owes the Agent.
10.2
Before any deduction, the Company must give written notice and keep the reason and the calculation on record. After this notice, money the Agent owes may be cut from the Agent’s pay, advance or security deposit, and until the dues are paid the Company may hold back the pay and the deposit.
10.3
The Company may cut an extra 10% on top of the loss amount only if, after taking legal advice, it ticks “Applies” here: .
10.4
Holding back or delaying passenger money without reason, or with excuses, will be treated as misuse of money (embezzlement). In case of fraud, misuse of money, misuse of the brand or any crime, the Company may complain to the police, government offices and courts in Nepal or India and take legal action.

11How long the Agreement lasts, renewal and ending it

11.1
This Agreement lasts for 11 (eleven) months from the start date written in Part A. During this time the Agent must not join another company or break this Agreement.
11.2
While this 11-month Agreement stands, the Agent is paid as the rules say even if the business is closed for a time. This does not apply if the business closes because of government papers or a legal problem, or because of the carelessness or rule-breaking of the Agent or the staff, or a loss they cause to the Company.
11.3
When the term ends, it is fully the Company’s choice whether to renew this Agreement. The Company decides after looking at the Agent’s work, conduct and ability, and at its own needs.
11.4
To end this Agreement before the 11 months are over, the Agent needs a reasonable cause and must give at least 30 (thirty) days’ written notice. The Agent must also settle all accounts; the Agreement ends only after that settlement.
11.5
If the Agent leaves without notice, does not hand over money, commits fraud, sends customers elsewhere, misuses the Company’s name, brand, system or money, or seriously breaks the rules, the Company may close the Agent’s login ID and end this Agreement at once. It may also take the necessary action under its rules and the applicable law.

12Handing back accounts, ticket books, logins and money

12.1
When this Agreement ends, the Agent must at once stop using the Company’s logo, boards, ticket material and login, and within 7 days take down all boards, logos and material. The Agent must hand over to the Company the full accounts, any Company money the Agent still holds, documents, ticket books, login access and all Company material and goods, and give any help needed for the handover.
12.2
After the final matching of accounts, the money owed between the two parties must be settled.

13Pay cycle

13.1
The monthly pay is paid on the 5th of each month.
13.2
Advance: between the 13th and the 15th of each month, an advance of up to 30% of the total pay can be taken.

14Change in law, disputes and courts

14.1
If a change in government rules, the Companies Act, transport law or any other applicable law makes it impossible to continue this Agreement, both parties may end it after they match the accounts and pay what they owe each other.
14.2
The Company is not responsible if service stops because of a bandh, strike, accident, natural disaster, road block, government ban or anything else outside its control.
14.3
The Company’s system and server records, digital logs, emails, SMS and WhatsApp messages are valid and final proof in accounts and disputes. Only what is written in this Agreement counts, not spoken promises; any change needs the written consent and signatures of both parties. If one clause is found invalid, all the other clauses still stand.
14.4
This Agreement follows the laws of India. Misuse of the Company’s brand may also be dealt with under trademark law, and misuse of data under IT / electronic-transactions law. If there is any dispute about this Agreement, both parties will first try to settle it by talking to each other. If it is not settled, the case will be heard by the courts at Mehsana (Gujarat).

14AStaff and conduct

14A.1
The Agent must not hire or put to work any staff member without the Company’s written approval. Every staff member must apply through the Company’s online portal (www.shreehariglobal.in/agreements/staff.html) and clear the Company’s KYC check.
14A.2
If the Agent introduces to a passenger any person in uniform who is not on the Company’s approved staff list, the Agent is responsible for that person and for everything that person does.
14A.3
The Agent must not pass any passenger’s details to a staff member who has been suspended or who has left the Company.
14A.4
The Agent must cooperate fully with any investigation about staff, and must share CCTV footage and voice records when the Company asks.
14A.5
If the Agent breaks any rule in this section, the Agent’s commission is frozen and the Agent’s agreement is reviewed.

15Declaration, KYC and signatures

15.1
This Agreement is valid, and both parties must follow it. Both parties have read and understood it, and accept it of their own free will, without any pressure and in a sound state of mind. Where the law allows, their authorized representatives and successors must follow it too.
15.2
The Agent must give these KYC papers, and they are part of this Agreement: citizenship / Aadhaar or other ID , address proof , 2 photos , bank details . Giving a false document is a separate offence.
