PART B — TERMS OF THE AGREEMENT

Both parties agree to these terms:

1The parties and the work

1.1
The Company runs a travel business: passenger buses and ticket booking.
1.2
The Company gives the Partner this work: to bring passengers and book their tickets, online or offline, in the service area written in Part A. The Partner does this work through its authorized staff.
1.3
The Partner must do only the work the Company allows. Every booking must be made at the fares the Company has approved, through the Company’s system and following its procedures.
1.4
The Partner is responsible for the work of everyone who acts for it under this Agreement. The Partner pays its own staff and looks after their tax and conduct; they are not the Company’s employees. If they make a mistake, cheat or misuse money, the Partner is responsible.
1.5
The Partner is an independent business. It is not the Company’s employee, branch, owner, franchise or legal representative, and this Agreement does not create a legal partnership between the Company and the Partner. The Partner’s only right is to book tickets and receive the commission in clause 2; it cannot claim any ownership of the Company’s buses, routes, brand, business or customers. Once a ticket is issued, the passenger the Partner brought is the Company’s customer.

2Commission, target and payment date

Schedule — pay terms
2.1
Commission or service fee: ₹ per ticket, or % of the fare, as the Company confirms in writing. Monthly booking target, if there is one: passengers. There is no salary and no fixed monthly amount unless it is written here: .
2.2
After the bookings and accounts are matched, the Company must pay on day of the next month. Payment is made by bank transfer, cheque or UPI. Before paying, the Company deducts TDS, GST and other taxes as the law requires. If needed, the Company may pay an advance on the commission between the 13th and the 15th of the month; the advance is adjusted in the next payment.
2.3
Security deposit, if any: ₹. It is returned only after this Agreement ends and all accounts are settled. Tax that the Company cuts as the law requires cannot be claimed from the Company later.
2.4
If a ticket is cancelled or refunded, its commission is taken back and the accounts are adjusted; no commission can be claimed on it. If the Company cancels a ticket or empties a seat without a proper reason, it returns the passenger’s money and still pays the Partner’s commission on that ticket. No commission is paid on a ticket made outside the Company’s system or its approved ticket books.

3Bus running schedule and minimum passengers

3.1
If the Company decides to run the bus every day, each bus must carry at least 40 passengers. If it does not, the Company’s bus runs once every 2 days. The Partner must bring passengers to fit this schedule.
3.2
The Partner must work to grow the business, not only for the commission.

4Passenger money, daily handover and matching the accounts

4.1
The Partner must write down every amount it takes from passengers, in cash or online. Every day, it must give the Company the full account, and the full ticket money must reach the Company’s account within hours.
4.2
Passenger money must not be held back or delayed on any excuse. If it is late, the Company may close the Partner’s login ID at once. Only the Company pays commission, as its system and accounts show; the Partner must not keep its commission out of the passengers’ money.
4.3
The Partner must keep proof of every amount it receives (cash, UPI or bank) and show it whenever the Company asks.
4.4
Before each monthly payment, the bookings and accounts must be matched. Any difference must be written down and settled in that same payment.

5Office attendance on the set timetable

5.1
The Partner’s staff who work on Company bookings must be present at the office or counter on the timetable the Company sets.
5.2
Absence without a reason is not accepted. If it happens again and again, the Company may take disciplinary action.

6Checks that must be done before every departure

6.1
Before every bus leaves, these must be confirmed: (1) the full details of every passenger travelling on the bus; (2) the pickup points and the meal stops for the route (Surat → Rupaidiha); (3) the phone number of the staff travelling on the bus.

7Online ticket system, fares, discounts and service to passengers

7.1
The Partner must use only the fares, discounts, offers, services and facilities that the Company approves. Tickets must be issued only through the Company’s system or from ticket books the Company approves. Not even one rupee more than the fare shown in the Company’s system may be taken from a passenger; if more is taken, the Partner alone is responsible.
7.2
Passengers must be given correct information. No false or misleading advertising, publicity or promises may be made. For any service, fare, discount or offer that the Company has not approved, the Partner is fully responsible, and the Company may take the necessary legal action.
7.3
The Partner and its staff must treat every passenger with respect and honesty and speak politely: no quarrels, threats or abuse. They must follow the Company’s service procedures.
7.4
The Partner must follow the rules and instructions on fares, routes, booking, payment and discounts that the Company gives from time to time. It must do nothing unethical or illegal and nothing that spoils the Company’s name, and nothing, directly or indirectly, that causes loss to the Company or its people, such as plotting or false talk against them.
7.5
After a booking, an SMS or WhatsApp message goes to the passenger’s phone number by itself.
7.6
Seats are booked online, and the passenger gets the very seat that was booked.
7.7
Passengers can book a seat themselves at www.shreehariglobal.in, or book through the Company’s staff or an agent.

8Company name, logo, ticket design, photos and publicity material

8.1
Without the Company’s written permission, the Partner and anyone acting for it must not use, copy or misuse the name (S Hari Global / Shree Hari Global), logo, brand, website, photos, ticket design, identity or advertising and publicity material of S HARI GLOBAL PRIVATE LIMITED, whether on boards, leaflets, social media, groups, pages or anywhere else.
8.2
Material approved by the Company may be used only for Company bookings. It must be removed and no longer used when the Company asks or when this Agreement ends.
8.3
The Partner must not use the Company’s GST, PAN or VAT number on its own bills, deals or any other work. It must never make or run a fake ticket, website, Facebook page, WhatsApp or phone number, or office board in the Company’s name or a look-alike name, and must never take a loan, credit or guarantee, or make any agreement, in the Company’s name.

9Keeping information secret

9.1
The Partner must keep the Company’s passenger data, fare lists, agent lists, system logins and other business information secret, both during this Agreement and after it ends. It must not give them to any other person or to a competing company.
9.2
Passenger details (name, phone, ID and booking) may be used only for the booking; they must not be given or sold to anyone or used for any other business. The Partner must not send the Company’s passengers to another bus or travel company, or take the Company’s customers, agents or staff to another company. For years after this Agreement ends, the Partner must still not divert the Company’s customers; secrecy continues as in 9.1.
9.3
Login IDs and passwords given by the Company may be used only by authorized users and must not be shared with anyone else. Keeping them safe is the Partner’s job: everything done from its ID, including a wrong name, seat or date, is the Partner’s responsibility.

10Breaking the rules, losses, written notice and deductions

10.1
If the Partner, or anyone acting for it, breaks the Company’s rules, terms or set procedures, or makes a mistake, and this causes the Company a loss, the Company may ask the Partner to pay back the actual loss that the records prove (money, harm to its name, lost customers and legal costs), or cut it from the money the Company owes the Partner.
10.2
Before any deduction, the Company must give written notice and keep the reason and the calculation on record. After this notice, money the Partner owes may be cut from its commission, advance or security deposit, and until the dues are paid the Company may hold back the commission and the deposit.
10.3
The Company may cut an extra 10% on top of the loss amount only if, after taking legal advice, it ticks “Applies” here: .
10.4
Holding back or delaying passenger money without reason, or with excuses, will be treated as misuse of money (embezzlement). In case of fraud, misuse of money, misuse of the brand or any crime, the Company may complain to the police, government offices and courts in Nepal or India and take legal action.
10.5
The Partner’s director or owner also takes on every duty in this Agreement personally. Even if the Partner’s company closes, dues and losses can be recovered from the director or owner.
10.6
Because this work runs in both Nepal and India, the Partner will have one or two guarantors in Nepal and one or two in India, named at the end of this Agreement. If the Partner does not pay or runs away, the guarantors are jointly liable for the dues and the loss.

11How long the Agreement lasts, renewal and ending it

11.1
This Agreement lasts for 11 (eleven) months from the start date written in Part A. During this time the Partner must not join another company or break this Agreement.
11.2
While this 11-month Agreement stands, the Partner is paid what is due under the rules even if the business is closed for a time. This does not apply if the business closes because of government papers or a legal problem, or because of the carelessness or rule-breaking of the Partner or its staff, or a loss they cause to the Company.
11.3
When the term ends, it is fully the Company’s choice whether to renew this Agreement. The Company decides after looking at the Partner’s work, conduct and ability, and at its own needs.
11.4
To end this Agreement before the 11 months are over, the Partner needs a reasonable cause and must give at least 30 (thirty) days’ written notice. It must also settle all accounts; the Agreement ends only after that settlement.
11.5
If the Partner leaves without notice, does not hand over money, commits fraud, sends customers elsewhere, misuses the Company’s name, brand, system or money, or seriously breaks the rules, the Company may close its login ID and end this Agreement at once. It may also take the necessary action under its rules and the applicable law.

12Handing back accounts, ticket books, logins and money

12.1
When this Agreement ends, the Partner must at once stop using the Company’s logo, boards, ticket material and login, and within 7 days take down all boards, logos and material. It must hand over to the Company the full accounts, any Company money it still holds, documents, ticket books, login access and all Company material and goods, and give any help needed for the handover.
12.2
After the final matching of accounts, the money owed between the two parties must be settled.

13Payment cycle

13.1
The Partner’s commission is paid each month on the day written in clause 2.2.
13.2
Advance: if needed, between the 13th and the 15th of each month, an advance of up to 30% of the commission due can be taken.

14Change in law, disputes and courts

14.1
If a change in government rules, the Companies Act, transport law or any other applicable law makes it impossible to continue this Agreement, both parties may end it after they match the accounts and pay what they owe each other.
14.2
The Company is not responsible if service stops because of a bandh, strike, accident, natural disaster, road block, government ban or anything else outside its control.
14.3
The Company’s system and server records, digital logs, emails, SMS and WhatsApp messages are valid and final proof in accounts and disputes. Only what is written in this Agreement counts, not spoken promises; any change needs the written consent and signatures of both parties. If one clause is found invalid, all the other clauses still stand.
14.4
This Agreement follows the laws of India. Misuse of the Company’s brand may also be dealt with under trademark law, and misuse of data under IT / electronic-transactions law. If there is any dispute about this Agreement, both parties will first try to settle it by talking to each other. If it is not settled, the case will be heard by the courts at Mehsana (Gujarat).

15Declaration, KYC, guarantors and signatures

15.1
This Agreement is valid, and both parties must follow it. Both parties have read and understood it, and accept it of their own free will, without any pressure and in a sound state of mind. Where the law allows, their authorized representatives and successors must follow it too.
15.2
The Partner must give these KYC papers, and they are part of this Agreement: company registration certificate , PAN / VAT / GST , director’s citizenship / Aadhaar , 2 photos , bank details , proof of the counter address . Each guarantor gives: in Nepal, a citizenship copy, photo, mobile number and address proof ; in India, Aadhaar, PAN, photo, mobile number and address proof . Giving a false document is a separate offence.
15.3
We, the guarantors who sign below, have read and understood all these terms, and we agree to be joint guarantors for all of the Partner’s money and legal duties under this Agreement.
